Welcome to NoSpoon Studios, operated by Alt+Ctrl+K Ltd ("Company," "we," "our," or "us"). By accessing or using the Platform, you ("User," "you," or "your") agree to abide by these Terms of Service ("Terms"). If you do not agree to these Terms, you must discontinue use of the Platform immediately.

1. Acceptance of Terms

By using the Platform, you agree to these Terms and our Privacy Policy. Your continued use of the Platform constitutes acceptance of any modifications to these Terms.

2. Beta Software Disclaimer

The Platform is in beta testing and may contain errors, bugs, or other limitations. The Company reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time without notice.

3. User Data & Storage

• We temporarily store your uploaded media and generated content for a very limited timeframe, solely for the purpose of processing and delivering your requested content.
• We do not analyze, share, sell, or repurpose your data in any way.
• Your data may be automatically deleted from our systems after a short retention period unless required for compliance with legal obligations.

4. User Responsibilities

You agree that you will not upload, submit, or generate content that:

• Contains unlawful, harmful, abusive, defamatory, obscene, or otherwise objectionable material;
• Violates any applicable laws, regulations, or third-party rights (including intellectual property laws);
• Contains malicious software, viruses, or any content that may damage the Platform or other users.
• Infringes upon third-party copyright or intellectual property rights. You must have EXPRESS PERMISSION to use any voices, images, or other copyrighted material that you upload to or create using the Platform. This includes but is not limited to celebrity likenesses, copyrighted music, trademarked characters, or any other protected intellectual property.

5. Intellectual Property & Content Ownership

• You retain full ownership of any original content you create using the Platform if you purchase credits for commercial use.
• For non-commercial or free-tier users, the Company retains a non-exclusive, revocable, limited license to use, store, and display your content solely for Platform operations and improvements.
• The software, algorithms, UI/UX, and any proprietary technology underlying the Platform are owned by Alt+Ctrl+K Ltd. No rights are granted to users except those expressly stated in these Terms.

6. Commercial Use & Licensing

• Users who purchase credits for commercial use are granted a perpetual, royalty-free, worldwide license to use the AI-generated content for commercial purposes.
• Users acknowledge that AI-generated content may not be wholly unique and similar content may be generated for other users.
• Users are solely responsible for ensuring compliance with all applicable copyright laws when using AI-generated content commercially.
• Even with a commercial license, you must have explicit permission to use any third-party intellectual property, including but not limited to celebrity voices, copyrighted characters, or trademarked names in your generated content. The commercial license from NoSpoon Studios does NOT grant you rights to use third-party intellectual property.

7. Limitation of Liability

• The Company is not responsible for any lost, damaged, or corrupted media uploaded to or generated by the Platform.
• The Company makes no guarantees regarding the availability, reliability, or accuracy of the generated content.
• The Platform is provided on an "as-is" and "as-available" basis. To the maximum extent permitted by law, the Company disclaims all warranties, express or implied.
• The Company will not be liable for any damages, including but not limited to indirect, incidental, special, consequential, or punitive damages, arising from your use of the Platform.

8. Termination

• We reserve the right to suspend or terminate your access to the Platform if you violate these Terms or engage in any unauthorized or harmful activity.
• Upon termination, any rights or licenses granted to you under these Terms will immediately cease.

9. Changes to Terms

We may update these Terms at any time. If material changes are made, we will provide notice via the Platform or email. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, where Alt+Ctrl+K Ltd. operates and conducts business, without regard to its conflict of laws principles. Any disputes arising under or related to these Terms shall be resolved exclusively in the state or federal courts located in California. You agree to submit to the personal jurisdiction of such courts for the resolution of any disputes arising from or related to these Terms.
